Terms and Conditions

These Terms and Conditions shall apply to all services performed by Company Medic for you, the person, firm or company who has requested our services.

Acceptance

You accept these Terms and Conditions upon receipt and they shall apply to every transaction thereafter unless you are notified of, and agree to, any variations.

Additional and Implied Terms

These Terms and Conditions, subject to any variation recorded in writing and agreed to by the parties, comprise the entire agreement between the parties. All implied terms, conditions or warranties are excluded from this agreement. We shall not be bound by any statements, representations, warranties or commitments made by an agent or representative of ours unless it is authorised in writing by a Director of Company Medic.

Fees and other Charges

All fees and charges are quoted excluding GST. We shall invoice you for fees and other charges on completion of the services. However, where the services are ongoing or continuing for more than 14 days, we shall invoice you for proportion of services completed within the 14 day period at the end of that period. Company Medic reserves the right charge the company of the employee (or prospective employee) making the appointment, for a “no show” fee in the case of a booked appointment where the employee does not show. If the company has a ruling that such fees must be paid by the employee, the company agrees to pay this amount in the first instance, and recoup the money from the employee.

Payment

You shall pay all fees and other charges invoiced to you by Company Medic by the 20th of the month following invoice. A claim or dispute raised by you shall not be a ground for withholding payment or offsetting against payments due. Guarantees offered by Company Medic. apply only where all money due under these Terms and Conditions has been paid by the due date.

Liability

Company Medic shall not be liable for any loss, damage, delay, failure, costs or expenses, however occasioned, arising out of, or in connection with, the performance of services under these Terms and Conditions.

You indemnify Company Medic against any loss, damage or expenses suffered by you, however occasioned, arising out of, or in connection with, the performance of services under these Terms and Conditions. The provisions of this clause shall continue to bind the parties after these Terms and Conditions have ceased to apply.

Confidentiality

Company Medic. shall keep confidential all information relating to your business that you have declared as confidential.

Governing Law

These Terms and conditions are governed by New Zealand law and are binding on your successors and the successors and assigns of Company Medic.
